Parmi’s experience over 30 years, 25 of which were with Shell International, in the international market covers legal, contractual, commercial, dispute resolution and stakeholder relationship advice in negotiations with host governments and oil and gas companies for, and during execution of, production sharing contracts, concession agreements, Buy-Back agreements, LNG agreements, Gas Sales and Purchase agreements, technical services agreements and other agreement formats. He also has experience in Islamic Financing.

He has also developed in-house training programmes in Contracts Management and conducted training for Shell’s contracting staff in the South East Asian Region. He currently conducts training for Senior Management personnel in “soft skills” training and for lawyers.

He has extensive experience in sanctions legislation (US and EU), export controls compliance and has developed and implemented a robust compliance programme, focusing on Iran and Syria.

Parmi has in depth knowledge of working practices and contractual constructs in a variety of jurisdictions including Malaysia, India, Pakistan, Egypt, Saudi Arabia and the Middle East & North Africa (MENA) region.

In addition to the above core expertise, Parmi has extensive knowledge and practical experience of arbitration, both from the prospective of lead legal advisor advising a Respondent and also as an arbitrator appointed by a Claimant. In all cases, Parmi adopts a conciliatory approach, urging parties towards the settlement of disputes, ideally through mediation. Where settlement is not possible, Parmi has the skills, aptitude and energy to drive a process forward and to decisions, based on facts presenting his findings clearly and succinctly.

Parmi’s arbitration experience is varied and he has been a lead legal advisor for arbitrations under the auspices of the Kuala Lumpur Regional Centre for Arbitration and the Cairo Regional Centre of Arbitration and in Oman employing UNICITRAL and ICC Rules. These disputes concerned major construction and contractual claims valued between US$ 200 mln to US$300 mln. He has also been involved in the drafting of arbitration awards.

Parmi has also acted as arbitrator as part of a three man panel in a case involving an Agency Agreement involving an international joint venture in a contractual claim of approximately US$60 mln.

He established KPLC in 2010, after retiring from Shell, and provides advice and consultancy to IOC, NOCs, independent small and medium oil companies and Service companies in the oil & gas industry.

In addition to the above, Parmi currently advises several IOCs, NOCs and SOEs on their strategy for entering and re-entering Iran in light of the JCPOA. His advice covers strategy, compliance, governance, legal, contractual and commercial aspects. Specifically his advise has covered the following issues:

Timing of Iranian barrels?
Sense of when production increases or does it?
How easy or difficult it is to restart production?
Infrastructure – where will the oil be exported?
What barriers exist if any once US sanctions are lifted?
Where does Iran oil growth go from here?
Local partner requirements
Local content requirements
The process of approval for foreign companies to come back into the country
Any other regulatory requirements

In addition he has expert knowledge and first hand insight into the current Iranian Buy Back contract and the review of the same currently being undertaken towards development of the Iranian Petroleum Contract.

Overview

Kimia is a Ph.D. candidate of Oil and Gas Law in the University of Tehran. She is an official member of Iran Central Bar Association and has practiced law for more than 10 years as a grade one lawyer (the highest rank in the Iranian legal system), during which she has been successfully fulfilled a broad range of cases and disputes.

Moreover, she has been working as a legal adviser predominantly for foreign companies on investment, Corporate Law, EPC contracts, BOT contracts, Sales and Purchase Agreements, Technical Services Agreements and so on.

Using her academic background and the experiencesas the legal advisor in leading international oil and gas companies such as Sinopec and Passargad Energy Development Company,she is capable offulfilling the complex legal situations with the best achievable results in oil and gas sector.Kimia’s  core expertise in oil and Gas are Buy-Back agreements and Gas and LNG Sales and Purchase agreements. She is alsofully familiar with the trends and changes of Iranian oil contracts towards the newly developing Iran Petroleum Contracts(IPC).

Kimia also has been serving as a legal representative for a commercial bank in a variety of lending transactions and she is recognized as a leading legal practitioner in the banking field.

In addition to her professional career as a legal advisor and a lawyer, Kimia has published remarkable number of papers on the international trade lawand the oil and gas sector, and she has been working as a lecturer in Islamic Azad University and Oxin High Education Institute for two years.

Overview

 

Sahel is a young lawyer with PhD level education in top EU and Iran universities.

During her 10-year legal experience, she has advised more than six international companies covering a wide spectrum of industries including inspection, shipping, tobacco, power, petrochemicals, trade, oil and gas, etc.

Her academic interest is in competition and regulatory law. She has written her first master thesis on IP law and her second master thesis and PhD proposal on Competition and regulatory law. Most charming to her are competition and regulatory law in telecommunication industry, regulating internet, big data and cloud computing.

However, in her career she has been more focusing on foreign investment in Iran, Corporate Law, Iran IP law and Sanction check.

For the past two years, her law practice has concentrated on Iran buy-back and, most recently, the new Iran Petroleum Contracts (IPC). For instance, during the last 10 months she was intensely busy giving legal advice to SINOPEC, the biggest Chinese oil and gas company, in Iran.

She is also our firm’s player in Europe. Recently she was leading a big cases regarding enforcement of a very critical Iranian judgments in UK which required conservancy over different level sanctions against Iran.

While she is more focused on legal advocacy, she acts like a true warrior when it comes to litigation. She is a member of Iran Central Bar having first stand license. She has attended courts for her clients including customs cases, tax cases, claims for damages, etc. As an example of her diverse experience, she was involved in a claim for damages which finally led to award of 10 million USD damages due to breach, by defendant, of contract.
